1. Scope and applicability

1.1. These General Terms and Conditions apply to all commercial services provided by Cross-Border Magazine (“CBM”), including media partnerships, advertising, sponsored content, articles, interviews, podcasts, newsletters, online publications, magazine placements, event sponsorships and other promotional or editorial services.

1.2. These terms apply to all business customers, advertisers, sponsors and commercial partners (“Partner”).

1.3. The specific services, deliverables, fees and applicable campaign or partnership period are set out in the relevant written quotation, order confirmation, partnership agreement or media kit.

1.4. By accepting a quotation or order confirmation, the Partner agrees to these General Terms and Conditions.

1.5. In the event of a conflict, the following order of precedence applies: (a) the signed partnership agreement or written order confirmation; (b) these General Terms and Conditions; and (c) the applicable Media Kit. Any deviation from these terms must be expressly agreed in writing by CBM.

2. Prices, VAT and invoicing

2.1. All prices are stated exclusive of VAT and any other applicable taxes, unless expressly stated otherwise.

2.2. Unless otherwise agreed in writing, the full annual partnership fee will be invoiced in January of the relevant calendar year, or earlier at the Partner’s request.

2.3. Invoices are payable within 30 days of the invoice date, unless a different payment term is stated on the invoice or agreed in writing.

2.4. The Partner’s payment obligation is not conditional upon publication dates, campaign performance, audience engagement, lead generation or other commercial results.

2.5. In the event of late payment, CBM reserves the right, subject to applicable law, to charge statutory commercial interest and reasonable recovery costs and to suspend outstanding services until payment has been received.

2.6. The Partner may not set off or withhold payments due to CBM against any alleged claim, unless required by applicable law or agreed in writing.

3. Partnership period and cancellation

3.1. The partnership period and the agreed services are specified in the relevant order confirmation or partnership agreement.

3.2. Unless otherwise expressly agreed in writing, an annual partnership covers the calendar year stated in the order confirmation. The agreed fee relates to the reserved partnership package and associated services for that period.

3.3. Once an order has been accepted by CBM, the Partner may not cancel the partnership or individual services unilaterally without CBM’s written consent.

3.4. If CBM agrees to a cancellation, any fees already paid or due remain payable to the extent permitted by applicable law, taking into account services already performed, costs incurred and any other applicable legal requirements.

3.5. If a Partner fails to provide the required materials, approvals or information on time, CBM may reschedule the relevant deliverable. Such delay does not automatically entitle the Partner to a refund or reduction in the agreed fee.

3.6. Any renewal, extension or continuation of a partnership must be agreed in writing, unless the parties have expressly agreed otherwise.

4. Delivery of materials and deadlines

4.1. The Partner must provide all required text, images, logos, advertisements, links, specifications and other materials by the deadlines communicated by CBM.

4.2. Materials must be supplied in the requested format and meet the applicable technical, editorial and quality requirements.

4.3. The Partner is responsible for the accuracy, completeness and legality of all information and materials supplied to CBM.

4.4. If materials are incomplete, technically unsuitable, inaccurate or submitted late, CBM may request corrections, adjust the publication schedule or, where reasonably necessary, decline to publish the affected material.

4.5. The Partner is responsible for reviewing and approving content where approval has been requested. Delays in approval may affect the publication schedule.

4.6. Unless expressly included in the order confirmation, the design and production of advertisements (including A4 advertisements), translations, substantial rewrites and other additional work are not included in the agreed fee and may be charged separately following prior agreement.

5. Editorial control and approval

5.1. CBM retains final editorial control over the content, layout, presentation, headlines, formatting and publication of all material appearing on its platforms.

5.2. Where agreed, CBM will edit or adapt Partner-supplied content for clarity, style, length, structure and consistency with CBM’s editorial standards.

5.3. The Partner will be given an opportunity to review and approve the substantive accuracy of sponsored content where this is included in the agreed service.

5.4. CBM will not knowingly publish material that materially misrepresents the Partner’s approved factual claims. However, CBM is not required to accept requested wording, editorial changes or promotional claims that conflict with its editorial standards.

5.5. Publication is subject to applicable law, technical feasibility and CBM’s editorial standards. CBM may refuse, amend, postpone or remove content that it reasonably considers unlawful, misleading, defamatory, infringing, inappropriate or damaging to its reputation or the integrity of its platform.

5.6. Editorial approval does not transfer responsibility for the Partner’s underlying claims, products, services or supplied materials to CBM.

6. Advertising and sponsored content

6.1. Advertising, sponsored articles, paid interviews and other commercial placements must comply with applicable advertising and media regulations.

6.2. CBM may identify paid or sponsored content as advertising, sponsored content, partner content or another appropriate designation where required by law or its editorial policy.

6.3. The Partner is responsible for ensuring that all promotional claims, product descriptions, prices, comparative statements and other information supplied are accurate, substantiated where required and legally compliant.

6.4. CBM does not guarantee a particular editorial tone, audience response, number of leads, sales conversion, search engine ranking, social media reach or other commercial outcome unless a specific measurable commitment has been expressly agreed in writing.

6.5. Advertisements and sponsored content are subject to availability, technical specifications and the publication schedule confirmed by CBM.

7. Intellectual property, images and Partner-supplied materials

7.1. Each party retains ownership of its pre-existing trademarks, logos, designs, photographs, texts, videos and other intellectual property.

7.2. The Partner is solely responsible for all content and materials supplied to CBM for publication or use, including photographs, images, illustrations, videos, logos, trademarks, texts and other creative or promotional materials.

7.3. The Partner warrants that it owns or has obtained all necessary rights, licences, permissions and consents to provide the materials to CBM and to authorise their publication, reproduction, editing, distribution and use in accordance with these Terms and Conditions. This includes, without limitation, copyright, trademark rights, image rights, portrait rights, privacy rights and any other third-party rights.

7.4. CBM shall not be responsible for verifying whether the Partner has obtained the necessary rights or permissions for any materials supplied by the Partner. In particular, CBM shall not be responsible for alleged or actual copyright infringement, trademark infringement, unauthorised use of photographs, image-rights violations or other third-party claims relating to such materials, provided that the relevant materials were supplied by the Partner or on its behalf.

7.5. To the extent permitted by applicable law, the Partner shall indemnify and hold harmless CBM and Salesupply BV, including their directors, employees and representatives, against third-party claims, damages, liabilities, reasonable legal fees and other reasonable costs arising out of or in connection with the supply, publication or use of Partner-supplied materials, including claims relating to copyright, trademarks, image rights, portrait rights or the absence of required licences, permissions or consents. This indemnity shall not apply to the extent that a claim results from CBM’s own unauthorised use outside the scope of the rights granted by the Partner, or from CBM’s own unlawful conduct or other liability that cannot lawfully be excluded.

7.6. The Partner shall promptly notify CBM of any claim, complaint or dispute relating to materials supplied by the Partner and shall cooperate in resolving the matter. CBM reserves the right to suspend, remove or replace the relevant materials where reasonably necessary to address a complaint, legal risk or rights-related concern.

7.7. The Partner grants CBM a non-exclusive, worldwide, royalty-free licence to use, reproduce, edit, adapt, publish, distribute and display the supplied materials for the purposes of delivering the agreed services and promoting the relevant partnership, including through CBM’s website, digital publications, printed magazines, newsletters, social media channels and other agreed promotional channels.

7.8. The licence in this section does not transfer ownership of the Partner’s intellectual property to CBM. The Partner remains responsible for ensuring that the licence granted to CBM is consistent with any third-party rights or restrictions applicable to the supplied materials.

7.9. CBM retains ownership of its own editorial content, original articles, layouts, designs, recordings and other materials created by CBM, except where otherwise agreed in writing or where third-party rights apply.

7.10. Neither party may use the other party’s trademarks, logos or materials outside the agreed scope without the relevant party’s permission, except as permitted by law.

8. Publication schedule and platform availability

8.1. Any publication dates, campaign dates and delivery timelines communicated by CBM are estimates unless expressly confirmed as binding in writing.

8.2. CBM will make reasonable efforts to deliver the agreed services within the planned schedule but does not guarantee a specific publication date unless expressly agreed in writing.

8.3. CBM may make reasonable changes to publication schedules, formats, layouts, distribution channels or technical delivery methods where necessary for operational, editorial or technical reasons.

8.4. If an agreed deliverable cannot reasonably be provided, CBM will, where appropriate, offer an alternative of comparable nature or agree a reasonable solution with the Partner.

8.5. CBM does not guarantee uninterrupted availability of its website, digital platforms, newsletters or third-party distribution services.

9. Partner representations and indemnification

9.1. The Partner warrants that all materials, statements, claims and information supplied to CBM are accurate to the best of its knowledge, lawful and not misleading.

9.2. The Partner warrants that the supplied materials do not infringe third-party intellectual property rights, privacy rights, image rights, confidentiality obligations or other legal rights.

9.3. The Partner shall promptly notify CBM of any complaint, claim or legal issue concerning material supplied by the Partner.

9.4. To the extent permitted by applicable law, the Partner shall indemnify CBM against third-party claims, losses and reasonable legal costs arising directly from the Partner’s breach of the warranties in this section or from unlawful materials supplied by the Partner, except to the extent caused by CBM’s own breach, negligence or unlawful conduct.

9.5. CBM may temporarily suspend or remove disputed material while a credible legal or rights-related concern is being investigated.

10. Limitation of liability

10.1. CBM will perform its services with reasonable care and skill.

10.2. To the maximum extent permitted by applicable law, CBM shall not be liable for indirect or consequential losses, including loss of profit, loss of revenue, loss of business opportunities, loss of anticipated savings, reputational damage or loss of data.

10.3. Subject to section 10.4, CBM’s total aggregate liability arising out of or in connection with a particular partnership shall not exceed the total fees paid or payable by the Partner to CBM under that partnership during the 12 months preceding the event giving rise to the claim.

10.4. Nothing in these terms excludes or limits liability to the extent such exclusion or limitation is prohibited by applicable law, including liability for fraud, wilful misconduct or any other liability that cannot legally be excluded or limited.

10.5. CBM shall not be responsible for the actions, omissions, content, availability or performance of third-party platforms, hosting providers, social media networks, search engines or distribution partners, except to the extent liability arises from CBM’s own breach of its obligations under applicable law.

10.6. The Partner must notify CBM of any claim as soon as reasonably practicable after becoming aware of the circumstances giving rise to it. Nothing in this clause shortens any mandatory statutory limitation period.

11. Confidentiality

11.1. Each party shall treat confidential business, commercial, financial and technical information received from the other party as confidential and shall not disclose it to third parties except where necessary to perform the agreement, where disclosure is authorised, or where disclosure is required by law.

11.2. This obligation does not apply to information that is publicly available through no breach of this agreement, was lawfully known before disclosure, is independently developed or is lawfully received from a third party.

11.3. The confidentiality obligations continue after the partnership ends for as long as the relevant information remains confidential, subject to applicable law.

12. Personal data and privacy

12.1. Each party shall comply with the data protection and privacy laws applicable to its activities, including the General Data Protection Regulation (GDPR) where applicable.

12.2. Each party is responsible for ensuring that any personal data it supplies to the other party may lawfully be disclosed and used for the agreed purposes.

12.3. Neither party shall use personal data obtained through the partnership for purposes incompatible with the applicable legal basis, privacy notices or consent requirements.

12.4. Where a service requires one party to process personal data on behalf of the other, the parties shall enter into any additional data processing agreement required by applicable law.

13. Force majeure

13.1. Neither party shall be liable for a delay or failure to perform its obligations to the extent caused by circumstances beyond its reasonable control, including natural disasters, war, terrorism, epidemics, government restrictions, major telecommunications or infrastructure failures, strikes or widespread third-party platform outages.

13.2. The affected party shall inform the other party within a reasonable time and take reasonable steps to limit the effects of the event.

13.3. If the affected services cannot reasonably be delivered within a reasonable period, the parties shall seek a fair alternative or other appropriate solution, taking into account services already performed and costs incurred.

14. Suspension and termination

14.1. CBM may suspend the relevant services or terminate the agreement by written notice if the Partner materially breaches these terms and, where the breach can be remedied, fails to remedy it within 14 days of receiving written notice.

14.2. CBM may suspend services immediately where reasonably necessary to address unlawful content, a serious rights infringement, a security risk or another urgent legal or operational concern.

14.3. Either party may terminate the agreement where the other party becomes insolvent or ceases business, subject to applicable law.

14.4. Termination does not affect accrued payment obligations or any provisions that by their nature are intended to survive termination.

15. Changes to these terms

15.1. The version of these terms accepted by the Partner applies to the relevant order.

15.2. CBM may update its general terms for future orders. Any material changes to an existing partnership shall apply only where agreed by the parties or where otherwise permitted by applicable law.

16. Governing law and disputes

16.1. These terms and any contractual or non-contractual obligations arising out of the relevant partnership shall be governed by the laws of the Netherlands, unless otherwise agreed in writing and to the extent permitted by applicable law.

16.2. The parties shall first attempt to resolve any dispute through good-faith negotiations between their authorised representatives.

16.3. If the dispute cannot be resolved amicably, it shall be submitted to the competent courts in the Netherlands, in the district where Salesupply BV has its registered office, to the extent permitted by applicable law.

17. General provisions

17.1. These terms, together with the applicable order confirmation and any expressly incorporated documents, constitute the agreement between the parties regarding the relevant services.

17.2. If any provision is held invalid or unenforceable, the remaining provisions shall remain in effect. The invalid provision shall be interpreted or replaced to the extent legally possible so as to reflect its original commercial purpose.

17.3. A failure or delay by either party to enforce a provision does not constitute a waiver of that provision.

17.4. These terms do not create a partnership in the legal sense, joint venture, agency relationship or employment relationship between the parties.

17.5. Electronic acceptance and electronic signatures may be used to enter into agreements, to the extent recognised by applicable law.
